Summary:

We are seeking an entrepreneurial, business-minded investment management lawyer to join our in-house legal team who is capable of providing pro-active legal advice and support to our global, institutional asset management business.  This position will be a key contributor to the firm with respect to a wide variety of legal and business matters and will provide direct, day-to-day support to the firm’s clients and key business groups, including the private fund group, portfolio management, finance, operations, trading, compliance, client services, and business development.

This position will report directly to the General Counsel and will provide ample opportunity for professional growth, development and mentoring. The ideal candidate will be a self-starter who thinks both strategically and tactically, proactively identifies opportunities to improve existing processes and procedures, is capable of working in a dynamic environment, and able to prioritize responsibilities under tight deadlines.

Primary Duties and Responsibilities:

  • Provide legal and regulatory advice to all business groups in connection with day-to-day investment management activities and collaborate with stakeholders on firm-wide projects and initiatives
  • Assist in managing and supporting all legal aspects of our private fund, group trust, separate account and sub-advisory businesses and trading relationships
  • Provide general legal counsel with respect to a variety of day-to-day matters, such as fund formation matters, investment management agreements and side letter negotiations, trading agreements, complex contract negotiations, general corporate/governance matters, employment and benefit matters, vendor agreements, engagement letters, confidentiality agreements, etc.
  • Identification, analysis, and assessment of key legal risks pertaining to hedge funds and other private investment funds, including review and analysis of funds structures and drafting governing documentation and agreements
  • Proactively monitor global regulatory developments and devise internal and external communication and implementation strategies

Essential Skills:

  • Juris Doctor from reputable law school; strong academic credentials
  • Minimum of 5-10 years of legal and regulatory experience at an established investment manager, hedge fund, law firm or similar service provider (combination of law firm and industry experience strongly preferred)
  • Firm understanding of the laws, rules and regulations applicable to investment managers (e.g., Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, ERISA, etc.)
  • Superior work ethic and strong analytical and organizational skills and attention to detail
  • Strong interpersonal, verbal and written communication skills and ability to work collaboratively with a team
  • High degree of professionalism and ability to exercise sound business judgment and discretion
  • Confidence and competence to be primary point of contact on legal and compliance-related inquiries
